Board Structure

In determining the structure, responsibilities and number of Standing Committees, the Board of Directors considers the following principles:

  1. The number and type of committees are designed to support, the Board in fulfilling its responsibilities and maximizes the participation of individual Directors.
  2. The Board as a whole has "ownership" of the work that is done on its behalf by committees, task groups, etc.
  3. The Board as a whole determines its priorities and how its business will be done by developing a policy on respective roles and relationship of the Board and its Standing Committees, a policy on Terms of Reference and membership of all Standing and Ad Hoc Committees, a set of annual goals/priorities for the Board and committees.
  4. Responsibility for Standing Committee participation should be balanced among all members of the Board.  All Standing Committee members shall be appointed for 1 year, unless specified in this Governance Plan
  5. Clear Standing Committee goals/work plans for prior approval of the Board.
  6. Periodic review of Standing and Ad Hoc Committees.
    The majority of committee members on all Standing Committees shall be elected directors.
  7. Ad Hoc Committees would be appointed and disbanded by the Board from time to time as need dictates.

The basic purpose for the establishment of a Standing Committee is for the committee to do the work that the Board of Directors does not have the time to examine in sufficient detail.
